1. Purpose

Southern Sword LLC (“Planarist”) has unilaterally adopted this Minimum Advertised Price (“MAP”) Policy regarding certain advertising practices as are below described. Planarist has determined that certain advertising practices undermine Planarist’s trade reputation, brand, and premium image within the target consumer population and discourage Planarist’s resellers from investing in the Planarist product lines and providing the best possible service and support to consumers. This Policy is a statement of Planarist’s policy intended to protect the long-term value of the Planarist brand, support the retailers who invest in demonstrating and growing the game in their communities, and preserve a healthy, competitive retail environment for Planarist products.

2. Unilateral Policy — Not an Agreement

This Policy is a unilateral statement of Planarist’s business practices. It is not a contract, nor an offer to form a contract, and is not incorporated into the Vendor Agreement or any other agreement, and does not require any reseller’s acceptance. Planarist does not seek and will not accept assurances, promises, or agreements concerning compliance. No employee or representative is authorized to negotiate this Policy, grant reseller-specific exceptions, or condition reinstatement on a promise of future compliance.

Resellers remain free to determine their actual selling prices at all times. Subject to applicable law and existing contractual obligations, Planarist will independently determine whether to accept future orders from a reseller or provide discretionary program benefits. This Policy does not authorize cancellation of accepted orders or withholding of benefits already owed under an existing agreement.

3. Scope

This Policy applies to all resellers of Planarist products in the United States, however the product was obtained—whether directly from Planarist or through a distributor. This Policy applies to all activities of a reseller and/or any corporate name, d/b/a, or assumed name, and it applies to a brick-and-mortar reseller who operates (directly or indirectly) a website or other internet site under the same or a different name.

“Advertised price” means any price communicated to the public, including: websites and online storefronts; online marketplaces (including TCGplayer, eBay, and Amazon); search, display, and social media advertising; email and SMS marketing to a general audience; printed catalogs, flyers, and mailers; and prices visible in search results or category/listing pages.

This Policy does NOT apply to:

• The actual price at which a reseller sells any product.
• In-store prices, shelf tags, or verbal quotes not communicated in public advertising.
• Prices displayed only after a customer takes an affirmative step in a transaction (e.g., “add to cart to see price” or prices shown solely in a checkout flow).
• Advertising of products Planarist has designated as discontinued or closeout.

4. Minimum Advertised Prices

The MAP for each Planarist product is its Manufacturer’s Suggested Retail Price (MSRP) as published in the then-current Planarist product catalog, including:

• Starter Deck (each) — $16.99
• Echoes of Eternity Booster Pack — $4.99
• Echoes of Eternity Booster Box — $115.99

Bundles, gift-with-purchase offers, storewide percentage discounts applied at checkout, and loyalty rewards are permitted so long as the advertised per-unit price of Planarist product is not stated or displayed below MAP.

5. Enforcement

Planarist monitors advertised prices at its discretion. Because this Policy is unilateral, Planarist does not enter into discussions regarding violations. Planarist may, in its sole discretion, take any of the following actions with respect to a reseller that advertises below MAP:

• First observed violation: written notification that the reseller’s advertising does not conform to this Policy.
• Continued or repeated violations: suspension of eligibility for direct wholesale purchasing, allocations, Complimentary Product, and organized play support.
• Persistent violations: permanent refusal to sell to the reseller, and removal from Planarist programs and directories.

These steps are illustrative, not a required sequence. Planarist reserves the right to take any lawful action, including immediate refusal to deal, at any time.

6. Administration

Planarist maintains unilateral discretion to modify, suspend, or discontinue this Policy at any time, in whole or in part, effective upon publication. The current version is published on Planarist’s website. Questions about whether a specific advertisement conforms to this Policy will not be pre-cleared; resellers are responsible for their own compliance determinations.

This Policy is administered solely by Planarist. Reports of nonconforming advertising may be sent to orders@planarist.com; Planarist does not commit to act on any report.
